Chapter 16 - THE CUFF LINK UNDER THE TABLE

Bellamy had cleaned the private dining room twice since the dinner.

No cuff link had been reported.

Vivian went anyway.

The restaurant manager allowed Daniel's investigator to inspect the room.

Nothing beneath the table.

Nothing near Adrian's chair.

Nothing behind the radiator.

Vivian stood where Sienna had slapped her.

She remembered every second.

The wine.

The silence.

Adrian standing.

His chair slamming backward.

Into the wall.

Vivian looked at the wall.

Then at the decorative floor vent beneath it.

"Open that."

The manager frowned.

"The vent?"

"Please."

Maintenance removed the cover.

Inside lay dust.

A wine cork.

A coin.

And one platinum cuff link.

Nobody spoke.

Vivian crouched.

The tiny object looked ordinary.

Her anniversary gift.

Five years of memory condensed into metal.

Daniel handed it to a forensic technician.

The internal mechanism opened using a jeweler's tool.

Inside sat a micro-storage module.

Encrypted.

The trust's old security team identified the architecture.

It required two components.

The cuff link contained data.

The second cuff link contained the decryption key.

Adrian had the key.

Vivian had the data.

A perfect stalemate.

Unless her grandfather had built a recovery method.

He had.

Sterling family archives retained a master recovery certificate.

It took six hours.

At 4:12 a.m., the storage device opened.

Vivian expected the ledger.

It was not there.

Instead, she found a backup of Adrian's private email archive.

Not recent.

It ended two years earlier.

But that was enough.

Daniel searched Meridian.

Hundreds of results.

Julian.

Blackthorne.

Hartwell Price.

Sienna.

Payments.

Pressure strategies.

Then Mara found a folder named Insurance.

Inside were profiles.

Board members.

Bankers.

Executives.

Private weaknesses.

Affairs.

Debts.

Addictions.

Tax problems.

Family disputes.

Adrian had collected leverage.

Sienna had been right.

But Vivian refused to use it.

Daniel looked surprised.

"This could end half his board support."

"No."

"Some of these people helped him."

"Then investigate their financial conduct."

"What about the personal information?"

Vivian closed the folder.

"We're not becoming him."

Daniel nodded slowly.

Then Mara found one file that was not personal.

A recording.

Date:

Three years earlier.

Adrian speaking with Julian.

Adrian's voice was unmistakable.

"We don't need to beat Vivian on the numbers."

Julian answered.

"Then how?"

"We make the institution afraid of her judgment."

Vivian closed her eyes.

Adrian continued.

"She has one weakness."

"What?"

"She still believes if she follows every rule, everyone else will too."

Julian laughed.

Adrian did not.

"That's why she'll lose."

Vivian listened without moving.

Three years.

He had planned her recusal three years ago.

The recording continued.

Julian asked:

"And if Sterling won't sell?"

Adrian answered.

"Then we trigger the conversion fight."

Daniel paused the audio.

"What conversion?"

Vivian frowned.

Mara searched.

One agreement appeared.

2018 senior secured financing.

Sterling's largest extension.

Section 14.7.

Change-of-control protection.

Covenant breach remedy.

Optional debt-to-equity conversion under specified fraudulent-transfer conditions.

Vivian stared.

She had read the agreement years ago.

But Adrian had never triggered the clause.

Until now.

Daniel began reading faster.

"If fraudulent asset transfer is established, Sterling can elect to convert part of the debt at a predefined valuation."

Vivian's pulse accelerated.

"What valuation?"

Mara found it.

The 2018 enterprise value.

Much lower than Caldwell Global's current value.

Daniel looked up.

"If Sterling converts the full eligible amount..."

He calculated.

"...it could own roughly forty-six percent."

"Not control."

"No."

Mara opened another debt agreement.

North Harbor's recently purchased debt contained matching participation rights.

Vivian stared.

"Combine them."

Daniel calculated again.

Then stopped.

"What?"

Vivian asked.

He looked at her.

"If North Harbor and Sterling both convert..."

"How much?"

"Fifty-four point eight percent."

The room went silent.

Vivian almost laughed.

Adrian had spent years trying to escape Sterling restrictions.

His attempt to transfer ArcLine could trigger a remedy giving Sterling-aligned capital majority ownership of Caldwell Global.

Her grandfather had built the trap years earlier.

Not because he predicted Meridian.

Because he understood men like Adrian.

Vivian looked at the recording transcript.

Adrian's own words returned.

That's why she'll lose.

Vivian stood.

"No."

Daniel looked at her.

"What?"

May you like

She closed the laptop.

"He confused rules with weakness."
